1. Acceptance of Terms

By accessing or using the website located at LuxorFunding.com and our associated Software-as-a-Service (SaaS) platform (collectively, the "Service"), provided by Luxor Funding, LLC ("Luxor Funding," "we," "us," or "our"), you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must refrain from using the Service. These Terms constitute a legally binding agreement between you and Luxor Funding. We may update these Terms periodically, and your continued use signifies acceptance of any modifications.

2. Description of Service

The Service is a cloud-based funding platform designed to assist businesses with operational funding, growth initiatives, consolidation strategies, scaling operations, and acquisitions. It provides tools for deal analysis, partner evaluations, and financial management. The Service is offered on a subscription basis and may include features such as data analytics, reporting, and integration with third-party services. We reserve the right to modify, add, or remove features at our discretion.

3. Registration and Account Security

To access certain features of the Service, you must register for an account by providing accurate, current, and complete information as prompted by the registration form. You agree to maintain and promptly update such information to ensure its accuracy. You are responsible for selecting a secure password and maintaining the confidentiality of your account credentials. You bear full responsibility for all activities that occur under your account, including unauthorized access. Notify us immediately of any suspected breach or unauthorized use.

4. Subscription Plans and Payments

The Service is available under various subscription plans, billed on a monthly or annual basis in advance. All fees are non-refundable, except as required by law. We may adjust pricing or introduce new charges with at least 30 days' prior notice via email or through the Service. Payments are processed through third-party payment providers, and you authorize us to charge your designated payment method for all applicable fees, including taxes. Failure to pay may result in suspension or termination of your account.

5. Use of the Service and Restrictions

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes, subject to these Terms. You agree not to: (i) use the Service for any illegal or unauthorized purpose; (ii) transmit viruses, malware, or any code of a destructive nature; (iii) reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; (iv) resell, sublicense, or distribute the Service without our express written permission; or (v) exceed any usage limits specified in your subscription plan. Violation of these restrictions may result in immediate termination of your access.

6. User Content

You retain ownership of any content you upload, submit, or display through the Service ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, reproduce, and use such content solely as necessary to provide and improve the Service. You represent and warrant that you have all necessary rights to grant this license and that your User Content does not infringe third-party rights or violate applicable laws.

7. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and underlying technologies, is owned by Luxor Funding or its licensors and is protected by copyright, trademark, patent, and other intellectual property laws of the United States and foreign jurisdictions. You may not copy, modify, or create derivative works of the Service without our prior written consent. All rights not expressly granted herein are reserved.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violations of these Terms, non-payment, or if we believe your use poses a risk to us or other users. Upon termination, your right to use the Service ceases immediately, and we may delete your data, subject to applicable laws. You may terminate your account at any time by contacting support, but no refunds will be provided for prepaid fees.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted, error-free operation. We do not warrant that the Service will meet your requirements or that any results generated will be accurate or reliable.

10. Limitation of Liability

To the fullest extent permitted by law, Luxor Funding and its affiliates, officers, directors, parent company, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability shall not exceed the greater of (i) the fees paid by you for the Service in the twelve (12) months preceding the claim or (ii) fifty percent (50%) of the total fees paid by you under these Terms.

11. Indemnification

You agree to indemnify, defend, and hold harmless Luxor Funding and its affiliates, officers, directors, parent company, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of the Service; (ii) your violation of these Terms; (iii) your User Content; or (iv) your infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana or Hawaii, United States, at our sole discretion, without regard to conflict of laws principles. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located within Indiana or Hawaii, as selected by us. You consent to the personal jurisdiction and venue of such courts.

13. Changes to These Terms

We may revise these Terms from time to time by posting the updated version on this page and updating the "Last Updated" date. We will provide notice of material changes via the Service or email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
